Function
The purpose of the Authority is to promote, operate, and maintain fairs, expositions, meetings, and conventions in the Chicago metropolitan area and, in connection therewith, to construct, equip and maintain buildings for such purposes. The Authority is also responsible for the recreational, cultural, and commercial development of Navy Pier.
Term
Of the initial members appointed by the Governor, one shall serve for a term expiring June 1, 2013, one shall serve for a term expiring June 1, 2014, one shall serve for a term expiring June 1, 2015, and one shall serve for a term expiring June 1, 2016, as determined by the Governor. Of the initial members appointed by the Mayor, one shall serve for a term expiring June 1, 2013, one shall serve for a term expiring June 1, 2014, one shall serve for a term expiring June 1, 2015, and one shall serve for a term expiring June 1, 2016, as determined by the Mayor. The initial chairperson appointed by the Board shall serve a term for a term expiring June 1, 2015. Additional members of the Board appointed pursuant to PA102-1129 shall serve for a term expiring on June 1, 2026. Successors shall be appointed to 4-year terms.

Qualifications
At least one member of the Board shall represent the interests of labor and at least one member of the Board shall represent the interests of the convention industry. The members of the board shall be individuals of generally recognized ability and integrity. No member of the Board may be (i) an officer or employee of, or a member of a board, commission or authority of, the State, any unit of local government or any school district or (ii) a person who served on the Board prior to the effective date of this amendatory Act of the 96th General Assembly. All members of the Board and employees of the Authority are subject to the Illinois Governmental Ethics Act, in accordance with its terms.
Compensation
Members of the Board shall serve without compensation, but shall be reimbursed for actual expenses incurred by them in the performance of their duties.
Composition
The Board shall consist of 11 members. The Governor shall appoint 5 members to the Board, subject to the advice and consent of the Senate. The Mayor shall appoint 5 members to the Board. At least 1 member of the Board shall represent the interests of the convention industry. A majority of the members appointed by the Governor and Mayor shall appoint a 11th member to serve as the chairperson.
